Terms of Service

1. The Services

Modulis provides a Bring Your Own Cloud (BYOC) platform that helps engineering teams investigate and resolve production issues by correlating observability signals, error data, session context, and related metadata, with AI-assisted analysis. The Modulis platform is deployed inside your own cloud environment; you are responsible for the cloud infrastructure account into which it is deployed, and for any associated third-party costs (cloud infrastructure, and, where applicable, AI model/inference costs under a bring-your-own-key arrangement).

2. Accounts

You must provide accurate and complete information when creating an account, and keep that information up to date. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly at launch@modulis.io of any unauthorized use.

3. Plans, Fees, and Payment

Subscription plans, pricing, and included capacity are described on our Pricing page, which forms part of these Terms. Paid plans are billed on a recurring basis in advance; fees are non-refundable except as required by law or as we otherwise state at the time of purchase. We may change our pricing or plans prospectively, with notice, effective for your next billing cycle. You are responsible for your own cloud infrastructure costs and any AI inference costs billed directly by your cloud or model provider, which are separate from and in addition to your Modulis subscription fee.

4. Acceptable Use

You agree not to:

• Use the Services in violation of applicable law;
• Attempt to gain unauthorized access to the Services or related systems;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse engineer, decompile, or attempt to derive the source code of the Services, except as permitted by law;
• Resell or sublicense the Services without our prior written consent, except as expressly permitted under an applicable partner agreement.

5. Your Data

As between you and Modulis, you own all data that you or your applications submit to or generate through the Services ("Customer Data"). Because Modulis operates on a BYOC model, Customer Data processed by the platform resides within your own cloud environment and, where you use a bring-your-own-key AI configuration, AI inference on that data occurs using your own model key inside your own cloud boundary. You grant Modulis a limited right to access and process Customer Data solely as necessary to provide, support, and maintain the Services for you.

6. Intellectual Property

Modulis and its licensors retain all right, title, and interest in and to the Services, including all related software, documentation, and trademarks. Except for the limited rights expressly granted to you to access and use the Services, no other rights are granted.

7. Third-Party Services

The Services may integrate with or rely on third-party services, including your cloud provider and, where applicable, your chosen AI model provider. Your use of those third-party services is governed by your own agreements with those providers, and Modulis is not responsible for their acts or omissions.

8. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information of similar nature, and not less than reasonable care, and to use such information only as necessary to perform its obligations under these Terms.

9. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-assisted features are intended to help investigate and accelerate resolution of production issues; they do not guarantee a correct root cause or fix in every case, and human review of AI-generated output remains your responsibility.

10. Limitation of Liability

To the fullest extent permitted by law, Modulis will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Modulis's total liability arising out of or related to these Terms will not exceed the amounts you paid to Modulis for the Services in the twelve (12) months preceding the event giving rise to the claim.

11. Term and Termination

These Terms remain in effect while you use the Services. You may stop using the Services, or downgrade or cancel a paid plan, at any time as described on the Pricing page or your account settings. We may suspend or terminate your access if you materially breach these Terms and do not cure the breach after notice, or if required by law.

12. Governing Law

These Terms are governed by the laws of the United States, without regard to its conflict of laws principles.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page with a revised "Last updated" date, and, for material changes, provide additional notice where appropriate. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
